In a defining moment for Kenya’s financial sector, Kestrel Capital East Africa Limited (KCEAL) has announced its acquisition by Theo Capital Holdings Ltd through a historic Management Buyout (MBO). The transaction, unveiled during Kestrel’s 30-year anniversary celebration gala in Nairobi, represents a major milestone in Kenya’s capital markets: a seamless transition of leadership within one of the region’s most trusted investment firms.
The buyout ensures continuity of service and stability while reaffirming Kestrel’s commitment to market leadership and innovation. The new structure will be spearheaded by Francis Mwangi, who continues as Chief Executive Officer of Kestrel Capital, and Eric Ruenji, the Chairman of Theo Capital Holdings Ltd. “This acquisition is about conviction, opportunity, and belief in the power of markets,” said Mwangi during the gala.
“We are proud to build on Kestrel’s strong legacy by deepening client service and positioning the firm for expansion. Our vision is to broaden client access to investment solutions that improve outcomes.”
Theo Capital Holdings, whose team boasts over six decades of combined experience in capital markets and trade execution, intends to guide Kestrel into a bold new chapter: anchored in technology-driven inclusivity and innovation.

“This is more than an acquisition; it is the start of Kestrel’s bold future,” said Ruenji.
“We will preserve its foundation of trust and integrity while adding accessibility and global connectivity to strengthen Africa’s capital markets.”
Founded in 1994 by Charles Field-Marsham, a former Wall Street banker at Credit Suisse First Boston, Kestrel Capital has grown to become synonymous with excellence and integrity in Kenya’s investment landscape. Over three decades, the firm has played a pivotal role in shaping the country’s financial markets: advising on over 30 major corporate transactions, guiding landmark equity raisings for giants such as KCB, DTB, and the Nairobi Securities Exchange (NSE) IPO, and managing complex restructurings for listed firms including Kenya Airways.
The firm also pioneered fundamental market research and was the first broker to execute trades on the NSE’s Unquoted Securities Platform (USP). Its track record includes structuring private placements worth over USD 200 million, among them a USD 60 million private equity secondary trade and the USD 140 million ARM equity investment.
Reflecting on the milestone, Field-Marsham expressed pride and optimism for the firm’s future:
“Kestrel Capital has always been more than a business; it has been a platform connecting Kenya to the world’s capital markets. As the firm transitions into new ownership, I am confident that Francis Mwangi and the Theo Capital team will honor its heritage while driving it into a bold new era.”
Looking ahead, the firm plans to expand its research-driven investment offerings, deepen retail participation in the markets, and enhance accessibility through strategic partnerships and digital solutions. The move aligns with Kenya’s broader vision of building a more inclusive and resilient capital market ecosystem.
As Kestrel Capital marks its 30th anniversary, this transition stands as both a celebration of its enduring legacy and the dawn of a transformative journey: from heritage to innovation, and from resilience to growth.
